Terms of Service

Effective Date: August 26, 2026

These Terms of Service (“Terms”) govern access to and use of the Hope For Paws Foundation Marketplace, operated by Hope For Paws Foundation, Inc. (“Hope For Paws Foundation,” “Hope For Paws,” “Foundation,” “we,” “us,” or “our”).

By creating a Marketplace account, placing a bid, completing a purchase, submitting payment, or otherwise affirmatively accepting these Terms, you agree to these Terms and the applicable Marketplace policies incorporated into them.

If you do not agree, do not use Marketplace features that require acceptance of these Terms.

1. Marketplace Operator

The Hope For Paws Foundation Marketplace is operated by Hope For Paws Foundation, Inc.

The Marketplace supports the Foundation's charitable mission through the sale and disposition of merchandise and related Marketplace activities.

All merchandise sold through the Marketplace is owned by or donated to Hope For Paws Foundation, Inc., and Marketplace proceeds support the Foundation's charitable mission.

Marketplace merchandise may include donated, used, pre-owned, vintage, collectible, new, open-box, surplus, handmade, unique, or other merchandise.

2. Incorporated Marketplace Policies

The following policies are incorporated into these Terms where applicable:

Together, these Terms and the applicable policies form the agreement governing your Marketplace use and transactions.

3. Which Policy Controls

When a Marketplace policy specifically addresses a subject, that more specific policy governs that subject.

For example:

Listing-specific terms may supplement these Terms for a particular item or transaction.

Nothing in these Terms or another Marketplace policy eliminates a right or obligation that applicable law does not permit the parties to waive.

4. Electronic Acceptance

Marketplace agreements and transactions may be entered electronically.

You may be asked to affirmatively accept Marketplace terms by selecting controls such as:

or another substantially similar control.

Hope For Paws Foundation may maintain electronic records documenting acceptance and Marketplace transaction activity.

5. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to create a Marketplace account, place a bid, or make a Marketplace purchase.

You may not use another person's identity or account to evade an age requirement, account restriction, suspension, or other Marketplace rule.

6. Account Information

Certain Marketplace features require an account.

You agree to provide accurate, current, and complete information and to update information when necessary.

You are responsible for maintaining accurate:

You are responsible for maintaining reasonable control over your Marketplace credentials.

Do not knowingly share your password or permit another person to use your account improperly.

Contact Marketplace Support promptly if you believe your account has been compromised or used without authorization.

Hope For Paws Foundation may temporarily restrict an account, require identity verification, require a password reset, pause affected transactions, or take other reasonable protective action when unauthorized access is suspected.

8. Multiple Accounts and Account Circumvention

Users may not create or use multiple accounts to:

Related accounts may be restricted when reasonably necessary to protect Marketplace integrity.

9. Marketplace Features

The Marketplace may provide features such as:

Features may be added, modified, limited, suspended, or discontinued.

10. Auctions

Marketplace auctions are governed by the Auction Rules.

Before bidding, review:

DO NOT PLACE A BID UNLESS YOU ARE PREPARED TO COMPLETE THE PURCHASE IF YOU WIN.

11. Bids and Bid Retraction

Placing a bid represents a genuine intention to purchase the item if your bid remains the winning bid when the auction sale is completed.

The Marketplace does not provide bid retraction or bid withdrawal functionality. Before an auction sale is completed, a bidder who believes applicable law requires relief from a bid because of a material bidding, input, account, or system error may contact Hope For Paws Foundation for review.

Submitting a request does not suspend, cancel, or alter the bid and does not guarantee relief. Hope For Paws Foundation will take any action required by applicable law, using the remedies legally available under the circumstances.

Once the auction sale has been completed and you are the winning bidder, changing your mind does not cancel the purchase obligation.

12. Official Auction Records

Marketplace server-side records control official auction administration.

These records may include:

A clock, browser display, notification, or screen refresh on a user's device does not override the Marketplace's official server record.

13. Extended Bidding

The Marketplace may use anti-sniping or extended-bidding procedures described in the Auction Rules.

A qualifying bid received near the scheduled closing time may extend the auction.

If an extension occurs, the auction remains open until the applicable extended period expires.

14. Buy Now Purchases

Buy Now merchandise may be purchased at the displayed price, subject to availability and applicable Shipping & Handling, tax, and other properly disclosed charges.

When secure checkout begins, the Marketplace may temporarily reserve or reduce available inventory for a limited checkout period.

If checkout expires, is abandoned, or payment is not successfully completed, the temporary reservation may be released and the merchandise may become available again. Unless the Marketplace expressly provides otherwise, a Buy Now transaction is completed when the applicable checkout and payment process is successfully completed.

15. Merchandise Condition

Marketplace merchandise may be donated, pre-owned, used, vintage, antique, collectible, open-box, discontinued, untested, handmade, or one of a kind.

Items may show:

Review the listing and photographs carefully before bidding or purchasing.

Photographs form part of the item description.

16. Item Descriptions

Hope For Paws Foundation will use reasonable efforts to describe merchandise accurately based on information reasonably available at the time of listing.

Listings may include information concerning:

Because many items are donated or pre-owned, Hope For Paws Foundation may not possess original purchase records, complete provenance, manufacturer documentation, original packaging, or complete product history.

Unless expressly stated otherwise, do not assume Hope For Paws Foundation is an authorized dealer for the manufacturer of a listed product.

17. As Is, Untested, and For Parts Merchandise

Listings may identify merchandise as:

FOR PARTS OR REPAIR

INCOMPLETE

FINAL SALE

or with another condition designation.

These terms are interpreted together with the listing and the Returns, Refunds & Damaged Items Policy.

They do not authorize intentional misrepresentation and do not eliminate rights that applicable law does not permit Hope For Paws Foundation to waive.

18. All Sales Are Final

ALL MARKETPLACE SALES ARE FINAL.

This applies to Auction and Buy Now purchases.

Hope For Paws Foundation does not provide ordinary returns, exchanges, or cancellations because a buyer:

The limited circumstances in which a transaction may qualify for review are governed by the Returns, Refunds & Damaged Items Policy.

These include matters such as:

19. Prices and Checkout

Marketplace prices are displayed in U.S. dollars unless expressly stated otherwise.

For auctions, the merchandise price is generally the final winning bid.

For Buy Now merchandise, the applicable price is the price presented for the transaction, subject to correction of material errors as permitted by applicable law.

Before payment authorization, checkout will identify applicable charges.

Optional charitable contributions are not mandatory purchase charges.

20. Payment

Marketplace payments must be completed through an authorized Marketplace payment method.

Payment procedures are governed by the Payment, Sales Tax & Checkout Policy.

A payment attempt, pending authorization, or declined transaction does not necessarily constitute completed payment.

21. Auction Payment Deadline

Unless the listing or order expressly provides otherwise:

WINNING AUCTION BIDDERS MUST COMPLETE PAYMENT WITHIN FORTY-EIGHT (48) HOURS AFTER THE MARKETPLACE SYSTEM FINALIZES THE AUCTION AND CREATES THE WINNING BIDDER'S ORDER.

Failure to receive an email, text message, push notification, or other reminder does not automatically extend the deadline.

22. Unpaid Auction Transactions

If a winning auction transaction remains unpaid after the applicable payment deadline, Hope For Paws Foundation may:

Once an unpaid transaction has been properly cancelled, the former winning bidder has no continuing right to demand the item.

23. Sales Tax

Hope For Paws Foundation will collect applicable sales or use tax when required by law.

Hope For Paws Foundation's nonprofit or federal tax-exempt status does not automatically make Marketplace merchandise sales exempt from sales tax.

Tax calculation and tax-exempt purchasing procedures are governed by the Payment, Sales Tax & Checkout Policy.

24. Shipping and Combined Shipping

Shipping and combined shipping are governed by the Shipping & Combined Shipping Policy.

You are responsible for providing an accurate shipping address.

Eligible items purchased together in the same Marketplace order may be packed and rated together when practical and safe, but combined shipping is not guaranteed.

Auction wins may remain separate orders. Combined shipping may be offered when the Marketplace provides a combined-shipping option or confirmation before shipment, but it is not guaranteed and does not automatically extend the auction payment deadline.

25. Local Pickup

Some merchandise may be designated LOCAL PICKUP ONLY.

Customers must comply with applicable identification, scheduling, release requirements, and any pickup deadline specifically stated in the listing or order.

Unclaimed merchandise will be handled according to Marketplace policy and applicable law.

26. Refunds

Approved refunds are governed by the Returns, Refunds & Damaged Items Policy.

Approved refunds are ordinarily returned to the original payment method.

Marketplace credit will not be substituted for money when applicable law requires a monetary refund.

27. Promotions and Discounts

Hope For Paws Foundation may offer promotions such as:

Promotions apply only according to the terms stated for the promotion.

A properly earned promotion will not be removed merely because Hope For Paws Foundation later regrets offering it.

28. Listing, Pricing, and Technical Errors

A listing or transaction may occasionally be affected by a material typographical, pricing, inventory, shipping, tax, or technical error.

When legally permitted, Hope For Paws Foundation may take reasonable corrective action.

Depending on the circumstances, corrective action may include:

This provision does not permit Hope For Paws Foundation to cancel a valid auction merely because an item sold for less than expected.

29. Unavailable, Lost, or Damaged Inventory

Because Marketplace merchandise may be donated, unique, or one of a kind, an item may occasionally become unavailable before fulfillment because it is lost, damaged, destroyed, stolen, materially misidentified, or otherwise cannot lawfully or practically be fulfilled.

If Hope For Paws Foundation cannot fulfill a paid transaction, the buyer will receive the refund or other remedy required by applicable Marketplace policy and law.

30. Optional Notifications

The Marketplace may provide optional email, SMS, browser, or other convenience notifications.

These may include:

Failure to receive an optional convenience notification does not automatically extend an auction, payment deadline, or claim deadline; alter a local-pickup requirement; or extend any pickup deadline specifically stated for the order.

SMS alerts are governed by the SMS / Text Alert Terms.

31. Privacy

Hope For Paws Foundation's collection, use, sharing, retention, and protection of personal information are described in the Privacy Policy.

Providing a telephone number does not, by itself, constitute enrollment in optional Marketplace SMS alerts.

32. Prohibited Conduct

You may not:

Bots, scripts, crawlers, scraping tools, automated bidding systems, or similar technologies may not be used without authorization when they:

Ordinary search-engine indexing and authorized integrations may be permitted.

34. Fraud and Security Review

Hope For Paws Foundation may investigate activity reasonably suspected to involve:

Transactions or accounts may be temporarily held or restricted while a legitimate investigation is pending.

35. Account Restrictions and Termination

Depending on the circumstances, Hope For Paws Foundation may:

Enforcement may consider the severity of the conduct, transaction history, repeated violations, fraud risk, harm to others, and intentional misuse.

Termination does not eliminate obligations that arose before the account was terminated.

36. Account Closure

You may request closure of your Marketplace account.

Closing an account does not automatically:

Information retention following account closure is governed by the Privacy Policy.

37. Intellectual Property

The Marketplace and its original content may include intellectual property owned by or licensed to Hope For Paws Foundation.

This may include:

Except as permitted by law or expressly authorized, you may not reproduce, sell, commercially exploit, distribute, misrepresent, or create unauthorized derivative works from protected Marketplace content.

References to third-party brands, manufacturers, artists, designers, or products for identification do not imply sponsorship, authorization, or affiliation unless expressly stated.

38. Foundation-Owned and Donated Merchandise

All merchandise sold through the Marketplace is owned by or donated to Hope For Paws Foundation, Inc., and Marketplace proceeds support the Foundation's charitable mission.

Hope For Paws Foundation is the seller for Marketplace transactions and administers Marketplace listings, checkout, customer payment, shipping or fulfillment, returns, refunds, and customer transaction support.

A person or organization that donates merchandise to Hope For Paws Foundation does not become a Marketplace seller and does not retain a right to customer payments or Marketplace sale proceeds merely because donated merchandise is later sold through the Marketplace.

39. Third-Party Services

The Marketplace relies on independent services that may include:

Independent third parties may have their own terms and privacy policies.

Hope For Paws Foundation does not control every action, outage, delay, or system operated by an independent third party.

40. Marketplace Availability

Hope For Paws Foundation will use reasonable efforts to maintain Marketplace functionality, but uninterrupted or error-free access is not guaranteed.

If a material technical failure affects an auction or transaction, Hope For Paws Foundation may take reasonable corrective action to the extent permitted by law.

Corrective action may include:

Corrective action is intended to restore a fair result rather than favor a particular bidder or avoid a legitimate auction result.

42. User Devices and Connections

Hope For Paws Foundation is not responsible for every problem caused solely by a user's:

43. Charitable Mission

Net Marketplace proceeds retained by Hope For Paws Foundation support the Foundation's charitable purposes, subject to applicable:

Unless expressly stated for a particular campaign or transaction, a Marketplace purchase should not be interpreted as a promise that a specific amount will fund a particular animal, project, program, or outcome.

44. Purchases and Charitable Contributions

A MARKETPLACE PURCHASE IS NOT AUTOMATICALLY A TAX-DEDUCTIBLE CHARITABLE CONTRIBUTION.

A merchandise purchase is an exchange for goods.

Separately designated voluntary contributions such as Round Up for Rescue are treated separately from merchandise purchases.

Hope For Paws Foundation does not provide individualized tax advice.

Consult your own tax adviser concerning the deductibility of payments.

45. No Professional Advice

Marketplace information concerning matters such as:

is provided for Marketplace purposes and is not individualized legal, tax, financial, medical, or professional appraisal advice.

Consult an appropriate professional when necessary.

46. Product Safety and Prohibited Merchandise

Hope For Paws Foundation may remove, reject, restrict, or cancel merchandise that it reasonably believes is:

Nothing in these Terms requires Hope For Paws Foundation to complete an unlawful transaction.

47. Manufacturer Warranties

Unless expressly stated in a listing, Hope For Paws Foundation does not represent that a manufacturer's original warranty remains valid for donated, resale, used, open-box, older, or transferred merchandise.

Nothing in these Terms disclaims a warranty or remedy that applicable law does not permit to be disclaimed.

48. Limitation of Liability

To the fullest extent permitted by applicable law, Hope For Paws Foundation will not be liable for indirect, incidental, special, or consequential losses arising solely from circumstances such as:

Nothing in these Terms limits or excludes liability for fraud, intentional misconduct, or any right, remedy, or liability that applicable law does not permit to be waived or limited.

49. Force Majeure

To the extent permitted by law, Hope For Paws Foundation is not responsible for delay or failure caused by extraordinary circumstances reasonably outside its control, including:

This provision does not eliminate any legally required cancellation, refund, or consumer-protection obligation.

50. Disputes

Customers are encouraged to contact Marketplace Support concerning transaction problems so Hope For Paws Foundation has an opportunity to investigate and resolve the issue.

Nothing in these Terms prevents a user from exercising a lawful:

These Terms do not impose mandatory arbitration, a class-action waiver, or a jury-trial waiver.

51. Governing Law

These Terms and Marketplace transactions are governed by applicable federal law and, where appropriate, the laws of the State of Mississippi.

This provision does not eliminate consumer protections or other mandatory rights that applicable law requires to apply.

52. Severability

If a court or other authority determines that part of these Terms is invalid, illegal, or unenforceable, that provision will be limited, modified, or severed to the extent legally appropriate.

The remaining provisions will continue to apply to the extent permitted by law.

53. No Waiver

Hope For Paws Foundation's failure to immediately enforce a provision of these Terms does not automatically waive its right to enforce that provision later.

A waiver in one circumstance does not automatically create a waiver in another circumstance.

54. Assignment

You may not transfer your Marketplace account or your obligations under these Terms to another person without authorization.

Hope For Paws Foundation may transfer Marketplace operational responsibilities to an appropriate successor, affiliate, service provider, or other authorized entity where legally permitted and consistent with applicable Foundation obligations.

Personal information remains subject to applicable privacy law and the Privacy Policy.

55. Changes to the Marketplace and These Terms

Hope For Paws Foundation may update Marketplace functionality, policies, or these Terms prospectively.

Material changes may be made because of:

Material revisions will include an updated effective or last-updated date.

When appropriate or legally required, users may be required to affirmatively accept revised Terms before completing new Marketplace transactions.

A material change will not silently rewrite the terms governing a completed transaction unless the change is required by law or affirmatively accepted for that transaction.

56. Terms Applicable to a Transaction

Unless a later change is required by law or affirmatively accepted by the customer, the Marketplace Terms and policies in effect when a customer places a bid or completes a purchase will generally govern that transaction.

57. Entire Marketplace Agreement

These Terms, together with applicable incorporated Marketplace policies and listing-specific terms, constitute the Marketplace agreement relating to the applicable use or transaction.

They supersede prior Marketplace representations concerning the same subject to the extent permitted by law.

59. User Acknowledgment

By creating a Marketplace account, placing a bid, completing a purchase, submitting payment, or otherwise affirmatively accepting these Terms, you acknowledge that:

  1. you are at least 18 years old and legally capable of entering a Marketplace transaction;
  2. you have had an opportunity to review these Terms;
  3. applicable Marketplace policies are incorporated into these Terms;
  4. placing a bid represents an intention to purchase if you become the winning bidder;
  5. the Marketplace does not provide bid retraction or bid withdrawal functionality; any legally required relief from a bid is subject to applicable law and the Auction Rules;
  6. winning auction purchases generally must be paid within 48 hours after the Marketplace system finalizes the auction and creates the winning order, unless the listing or order expressly provides a different deadline;
  7. Marketplace merchandise may be donated, used, vintage, collectible, untested, or one of a kind;
  8. descriptions and photographs should be reviewed carefully before purchasing;
  9. all Marketplace sales are final, subject only to the limited exceptions in the Returns, Refunds & Damaged Items Policy and applicable law;
  10. applicable Shipping & Handling, taxes, and other required charges will be disclosed as applicable;
  11. optional charitable contributions are voluntary;
  12. a merchandise purchase is not automatically a tax-deductible charitable contribution;
  13. fraud, shill bidding, collusion, payment abuse, return fraud, and Marketplace interference are prohibited;
  14. Hope For Paws Foundation may restrict or terminate Marketplace access for material violations;
  15. Marketplace server records control official auction timing and bidding records;
  16. material technical problems may be corrected in a fair manner as permitted by law;
  17. optional SMS, email, and other convenience notifications do not replace official Marketplace records;
  18. personal information is handled according to the Privacy Policy;
  19. applicable law controls over any provision that cannot legally be waived; and
  20. you agree to these Terms of Service.
